1. Acceptance of Terms
By accessing or using the Kollect Music IP Registry platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Kollect provides a platform for registering, licensing, and managing music intellectual property on the Solana blockchain. The Service includes IP registration, license template creation, license purchasing, royalty distribution, and venue playback reporting.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding agreement to use the Service. By using Kollect, you represent and warrant that you meet these requirements.
4. Account Registration
To use certain features, you must create an account. You are responsible for maintaining the security of your account credentials and wallet access. You agree to notify us immediately of any unauthorized use of your account.
5. Intellectual Property Ownership
You retain ownership of all intellectual property you register on the platform. By registering IP on Kollect, you represent and warrant that you have the legal right to do so. Kollect does not claim ownership of any content you submit.
6. Licensing
License templates you create define the terms under which others may use your intellectual property. You are solely responsible for the terms you set, including pricing, royalty splits, derivative rules, and grant durations. Kollect facilitates license transactions but is not a party to the license agreement between licensor and licensee.
7. Blockchain Transactions
The Service interacts with the Solana blockchain. You acknowledge that:
- Blockchain transactions are irreversible once confirmed.
- You are responsible for all transaction fees (gas/network fees).
- On-chain data is public and immutable — it cannot be modified or deleted.
- Kollect is not responsible for losses resulting from blockchain network issues, wallet compromise, or user error.
8. Venue Playback & Royalties
Venues that submit playback commitments are responsible for the accuracy of their reports. Royalty distributions are calculated and settled based on submitted playback data. Kollect does not guarantee the accuracy of venue-reported data or the availability of royalty payments.
9. Prohibited Conduct
You agree not to:
- Register intellectual property you do not own or have rights to.
- Submit fraudulent playback data or manipulate royalty reports.
- Use the Service for money laundering, fraud, or any illegal activity.
- Attempt to interfere with or disrupt the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Kollect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital assets, arising from your use of the Service.
12. Indemnification
You agree to indemnify and hold harmless Kollect, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
13. Termination
We reserve the right to suspend or terminate your access to the Service at any time for conduct that violates these Terms or is otherwise harmful to the platform. On-chain data will persist regardless of account status.
14. Modifications
We may revise these Terms at any time by posting the updated version on this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
